1. Acceptance of Terms

By accessing or using the Innovation Lens platform (“Platform”), you agree to be bound by these Terms of Use (“Terms”). If you do not agree, do not use the Platform. These Terms apply to all visitors, registered users, and others who access or use the Platform.

2. No Investment Advice

The Platform provides research signals, thematic analysis, and company profile information generated by automated models. This content does not constitute investment advice, financial advice, trading advice, or any other type of advice. Nothing on the Platform should be construed as a recommendation to buy, sell, hold, or otherwise transact in any security, asset, or financial instrument. You should consult a qualified financial adviser before making any investment decision.

Past performance data shown on the Platform reflects backtested, simulated results and does not represent actual trading returns. Past performance does not guarantee future results.

3. Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Platform for your own internal informational purposes. You may not:

Reproduce, distribute, or publicly display Platform content without our prior written consent.
Use the Platform to build a competing product or service.
Scrape, crawl, or systematically extract data from the Platform by automated means.
Attempt to reverse-engineer, decompile, or access non-public parts of the Platform.
Use the Platform for any unlawful purpose or in violation of applicable securities laws or regulations.

4. Accuracy of Information

We make reasonable efforts to ensure the accuracy of information on the Platform, but we do not warrant that any content is complete, accurate, current, or free from error. Research signals and company profiles are generated algorithmically and may contain inaccuracies. You are solely responsible for verifying any information before acting on it.

5. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED AVAILABILITY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS ENTIRELY AT YOUR OWN RISK.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INNOVATION LENS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE PLATFORM OR ITS CONTENT — INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOST PROFITS, LOST REVENUE, LOST DATA, INVESTMENT LOSSES, TRADING LOSSES, OR ANY OTHER FINANCIAL LOSS — EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS OR RELATED TO THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (US$100). IF YOU HAVE PAID US NOTHING, OUR LIABILITY IS ZERO.

Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

7. Indemnification

You agree to indemnify, defend, and hold harmless Innovation Lens LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to (a) your use of the Platform, (b) your violation of these Terms, or (c) any investment or financial decision you make based on content from the Platform.

8. Intellectual Property

All content on the Platform — including research signals, analysis, software, design, trademarks, and text — is the exclusive property of Innovation Lens LLC or its licensors and is protected by applicable intellectual property laws. Nothing in these Terms grants you any ownership rights in any Platform content.

9. Third-Party Links and Data

The Platform may link to third-party websites or reference third-party data sources. We have no control over and accept no responsibility for the content, privacy practices, or availability of any third-party sites or data. Links do not constitute endorsements.

10. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, all licences granted to you cease immediately. Sections 2, 5, 6, 7, and 8 survive termination.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws provisions. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

12. Changes to These Terms

We may update these Terms at any time. Material changes will be indicated by an updated “Last updated” date. Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
